1. Scope and conclusion of the contract

1.1 These Conditions of Sale govern the offer and sale through this site www.taigamusic.com ("Site") of the products sold by Goodfellas s.r.l., with registered office in 50126 Florence in Via Rubaconte da Mandello 11, VAT number IT05013920482 and with head office in 00177 Rome in Via Giorgio Pitacco 70.

1.2 The sale of products through the Site constitutes a distance contract which, for users with a VAT number, is governed by the italian Civil Code, by Legislative Decree 9 April 2003 n. 70 on electronic commerce and the Consumer Code where the discipline is also extended to B2B (business to business) relationships.

1.3 These Conditions of Sale can be modified at any time. Any changes will be effective from the moment of their publication on the Site in the '' Terms and Conditions '' section, present in the footer of each page of the Site. Users are therefore invited to access the Site and consult regularly, before making any purchase, the updated version of the Conditions of Sale.

1.4 The applicable sales conditions are those in force on the date of transmission of the purchase order for one or more products.

1.5 Before proceeding with the purchase of products through the Site, the user is required to carefully read these Conditions of Sale which he/she is allowed to store and faithfully reproduce for personal use, as well as all other information provided on the Site both before and during the purchase process.

1.6 These Conditions of Sale do not regulate the sale of products by parties other than Goodfellas s.r.l. that may be present on the Site through links, banners or other hypertext links.

2. Purchases on the Site

2.1 The purchase of products through the Site can only take place after registering with the methods set out in art. 3 below and is only allowed to resellers with a VAT number. With the exception of users from some non-EU Countries (Andorra, Gibraltar, Jersey Island, Liechtenstein, Man Island, Monaco, Norway, San Marino, Serbia, Switzerland, Turkey, Vatican) who are just asked to indicate the name of their society. Nevertheless, their registration on the Site will be accepted only after an internal verification of the provided information, in order to assure the accuracy and truthfulness of the data provided by the reseller.

2.2 In the case of orders, coming from anyone, which are anomalous in relation to the methods of concluding orders, the quantity of products purchased, the frequency of purchases made, the methods of payment and delivery of orders, Goodfellas s.r.l. reserves the right to undertake all actions necessary to stop the irregularities, including the suspension of access to the Site, the cancellation of the registration on the Site or the non-acceptance or cancellation of irregular orders.

2.3 Goodfellas s.r.l. also reserves the right to refuse or cancel orders that come (i) from a user with whom it has an ongoing legal dispute; (ii) by a user who has previously violated these Conditions of Sale; (iii) by a user who has been involved in fraud of any kind; (iv) from users who have released false, incomplete or in any case inaccurate identification data.

2.4 Goodfellas s.r.l., finally, reserves the right to cancel orders in the event of unforeseeable and exceptional events that prevent their correct processing (excessive quantity of products purchased which prevents the correct management of products in the warehouse, unavailability of products, operational and logistical impediments, etc.).

3. Registration on the Site

3.1 Registration on the Site is free. To register on the Site, the user must click on the "Register - Create an Account" button and enter the following information:

• VAT number (only for resellers from European Union and United Kingdom)
• Tax code (only for italian resellers, if different from VAT number)
• Recipient code SDI (only for italian resellers)

TaigaMusic-Goodfellas s.r.l. Customer Service, following the registration of a new user, will verify the correspondence between the company name and the VAT number, if asked, and the accuracy of the data provided by the reseller.

Registering on the Site allows the user, through a private and personal area ("My account") to access certain data and independently manage certain information and preferences:

• Personal information;
• Addresses - where further personal identification and contact data are available, with the possibility of creating and managing an address book;
• Order history - with the history of orders placed by the Site;
• Wishlist - with the list of generated products as a wish list;
• Vouchers - with the list of any coupons available;
• My cards - with the list of registered cards;
• GDPR - Personal data - where the user can consult and download his/her data in CSV and PDF version.

3.2 The registration credentials (e-mail address and password) must be used exclusively by the user and cannot be transferred to third parties. The user undertakes to keep them secret and to ensure that no third parties have access to them and to immediately inform Goodfellas s.r.l., by contacting it at the addresses referred to in art. 14 below, in the event that he/she suspects or becomes aware of an improper use or undue disclosure of the same. Each user is allowed to register on the Site for one time only. It is forbidden for the same user to make multiple registrations. In the event that Goodfellas s.r.l. detects that the same user has made multiple registrations on the Site, Goodfellas s.r.l. reserves the right to proceed, immediately and without notice, to block the relevant account.

3.3 The user guarantees that the information provided during the registration procedure on the Site is complete and truthful and undertakes to hold Goodfellas s.r.l. harmless and indemnified from any damage, compensation obligation and / or sanction deriving from and / or in any way connected to the violation. by the user of the rules on registration on the Site or on the conservation of registration credentials.

4. Information for the conclusion of the contract

4.1 In compliance with italian Legislative Decree 9 April 2003, n. 70 containing provisions on electronic commerce, Goodfellas s.r.l. informs the user that:

• to conclude the purchase contract for one or more products on the Site, the user must fill in an order form in electronic format and send it to Goodfellas s.r.l., via telematics, following the instructions that will appear from time to time on the Site;
• the sales contract is concluded when the user's order form reaches the Goodfellas s.r.l. server;
• before proceeding with the transmission of the order form, the user will be able to identify and correct any errors in entering data by following the instructions on the Site at the various stages of the purchase;
• the order form will be filed in the Goodfellas s.r.l. database for the time necessary to execute it and, in any case, within the terms of the law. The user will be able to access the order form and / or the data relating to it through his / her personal account;
• the languages ​​available to users for the conclusion of the contract are Italian and English. Customer Service is able to communicate with users in the same languages.

5. Product Availability

5.1 The Products that can be purchased through the Site are the items in the electronic catalog published on the Site at the time the order is placed. The update on the availability of the products is done in real time at the time of purchase.

5.2 Each Product is accompanied by an information page that illustrates its main characteristics ('' Product Page ''). The product can be "available" or "not available - out of stock".

For each product it is therefore indicated whether it is:

- "Available": this means that the product is in Goodfellas s.r.l. availability and is ready for shipment, except in cases where, due to exceptional and unforeseeable events, the product, at the time of withdrawal from the warehouse, it is unsaleable because it is missing or damaged and therefore cannot be shipped. In this case, customer assistance will contact the user who can decide to modify the order, replacing or excluding the aforementioned products, or cancel the order and have the total amount refunded, if already paid, on the same means payment used during the purchase.
- "Not available - out of stock": the user can select the product and consult its data sheet but cannot order it.

In the case of an order having an “Available” Product as its object, Goodfellas s.r.l. will send the user an e-mail confirming receipt of the order containing the identification number assigned to the order.

6. Product Information

6.1 Each product is accompanied by the Product Page. The images and descriptions on the Site reproduce the characteristics of the Products as faithfully as possible. Furthermore, the images of the products on the Site may differ in size or in relation to any accessory products. These images must therefore be intended as indicative and with the tolerances of use. For the purposes of the purchase contract, the description of the product contained in the order form sent by the user will prevail. Goodfellas s.r.l. is not responsible for any inaccuracies in the documentation and product specifications.

7. Prices

7.1 The prices of the products published on the Site can be viewed by the user only after logging in to the Site. All the prices of the Products published on the Site are expressed in Euros, net of VAT.

Shipment costs, which may vary in relation to the chosen delivery method and / or in relation to the payment method used, will be specifically indicated (in Euros) during the purchase process, before the user is bound by the contract, in the order summary and in the order confirmation email.

7.2 Goodfellas s.r.l. reserves the right to change the price of the products at any time and also, possibly, several times during the same day. It is understood that the price of the product that will be charged to the user will be that indicated in the order summary, displayed by the user before placing the order, and that any changes (increase or decrease) subsequent to the transmission of the order itself won’t be taken into consideration.

7.3 In the event that a product is offered on the Site at a discounted price, the Site will indicate (i) the full reference price on which the discount is calculated and (ii) the discounted price.

8. Orders purchase

8.1 The contract is subject to payment of the total amount due.

Payment via PayPal or via credit / debit / prepaid cards on Stripe or Paypal ensures the immediate transfer of the total amount owed by the buyer to Goodfellas s.r.l..

8.2 The ownership of the products will be transferred to the user at the time of shipment, to be understood as the moment of delivery of the product to the carrier. The risk of loss or damage to the Products, for reasons not attributable to Goodfellas s.r.l., on the other hand, will be transferred to the user when the user or a third party designated by him/her and other than the carrier, materially comes into possession of the products.

8.3 The user may cancel the order before he/she has received the shipment tracking email, only if the order has not been prepared for the shipping process. In this case, the user will not be charged any costs.

9. Methods of Payment

9.1 Payment for the products purchased through the Site may be made by the method of payment described in the following paragraphs:

PayPal and credit / debit / prepaid Card

9.1.1 Payment for products purchased on the Site can be made using the payment solutions provided by PayPal. If the user chooses PayPal as a means of payment, he/she will be redirected to the PayPal site where he/she will pay for the Products according to the procedure envisaged and governed by PayPal and the terms and conditions of the contract agreed by the user with PayPal. If the user chooses a credit / debit / prepaid card as a means of payment, he/she will be redirected to the PayPal site where he/she will pay for the Products according to the procedure envisaged and governed by PayPal for this service and the terms and conditions of the agreed contract by the user with PayPal. Goodfellas s.r.l. is not able to know and does not store in any way the data of the credit / debit / prepaid Card used for payment or connected to the user's PayPal account or the data of any other payment instrument connected with this account.

In the case of payment by PayPal, the total amount will be charged by PayPal to the user at the same time as the conclusion of the online contract. In case of termination of the purchase contract and in any other case of refund, for any reason, the refund amount will be credited by PayPal to the PayPal account or to the credit / debit / prepaid card used by the user. The re-credit times on the payment instrument used depend exclusively on PayPal and the banking system. Once the refund order has been placed, Goodfellas s.r.l. cannot be held responsible for any delays or omissions in crediting the user with the refund amount, to dispute which the user must contact PayPal directly.

Credit / debit / prepaid Card on Stripe

9.1.2 If the user chooses a credit / debit / prepaid Card as a payment method, he/she will be redirected to the Stripe site where he/she will pay for the Products according to the procedure established and governed by Stripe for this service and the terms and conditions of the contract agreed by the user with Stripe. Goodfellas s.r.l. is not able to know and does not store in any way the data of the credit / debit / prepaid Card used for payment.

In case of termination of the purchase contract and in any other case of refund, for any reason, the refund amount will be credited by Stripe to the credit / debit / prepaid Card used by the user. The re-credit times on the payment instrument used depend exclusively on Stripe and the banking system. Once the refund order has been placed, Goodfellas s.r.l. cannot be held responsible for any delays or omissions in crediting the user with the refund amount, for which the user must contact Stripe directly.

Bank transfer

9.1.3 Payment for products purchased on the Site can be made by bank transfer. The bank details for the execution of the transfer will be indicated in the purchase procedure by selecting the relative payment method. After completing the order you will receive a confirmation email containing our bank details for the payment.

If the actual crediting of the total amount due does not take place within 48 hours of the order, the user receives a payment reminder by e-mail. In the absence of feedback, the order is canceled in the following days and the contract is considered terminated by law. Of this resolution and the consequent cancellation of the order, the user will be immediately notified via the update e-mail on the status of the order.

In the case of payment by bank transfer, the shipment of the products will be made only after receipt of the transfer by TaigaMusic.

To facilitate the connection between the payment received by bank transfer and the order placed, the customer is required to indicate the order number in the “reason for payment” of the bank transfer.

10. Delivery methods, costs and terms

10.1 Product deliveries are made throughout Europe.

10.1.1 Once the order is received, it is processed as soon as humanly possible.

10.2 At the time of shipment, an e-mail will be sent to the user which will also indicate a link to the courier's website and the tracking number through which the user can check the status of the shipment; the user can in any case follow the tracking of the shipment of the products from the "Order history" section of his account.

10.3 Shipment is subject to a fee and, unless otherwise specified, shipment costs are borne by the user. The amount of shipment costs payable by the user in relation to a specific order is expressly and separately indicated (in Euros) during the purchase process, in the order summary and, in any case, before the user proceeds to transmit the order.

10.4 In summary, the total price of the order with separate reporting of shipment charges and any other possible additional spending will be shown. For each sale made on the Site, Goodfellas s.r.l. issues an invoice to the holder of the purchase order who can consult it and download it in the "Order History" section. The information provided by the user at the time of the transmission of the order through the Site and that the user guarantees to be true is authentic. No change in the invoice will be possible after its issue. The user undertakes to keep Goodfellas s.r.l. harmless and indemnified from any damage it may derive, including any penalties, in the event that the data provided by the user through the Site for the issuance of the invoice are not true.

10.5 The delivery of the Products purchased on the Site may take place, at the user's choice, to the main address indicated at the time of registration or to a new shipping address. It is always possible for the user to create a new shipping address from his/her personal area by selecting the "Addresses" box and the "Create new shipping address" option.

10.6 Shipping costs will be charged in consideration of the following table:

EUR2: Denmark, France, Great Britain, Switzerland
EUR3: Croatia, Czech Republic, Hungary, Poland, Serbia, Slovenia, Spain
EUR4: Bulgaria, Estonia, Ireland, Latvia, Lithuania, Portugal, Romania, Slovakia, Sweden

10.7 Free shipping:

• All orders over € 400.00 (VAT excluded and net of any discounts applied) are shipped free of charge in EUR1, EUR2, Italy, San Marino and Vatican.

• All orders over € 600.00 (VAT excluded and net of any discounts applied) are shipped free of charge in EUR3 and EUR4.

• All orders over € 900.00 (VAT excluded and net of any discounts applied) are shipped free of charge in Finland, Greece, Malta, Norway and Liechtenstein.

All items must be in stock to claim free shipping. If Goodfellas s.r.l. receives a free shipping order that it cannot fulfill because it runs out of any of the products, the user will be notified and asked to add more products or to authorize Goodfellas s.r.l. to charge him/her for the full shipping.

10.8 Regarding the delivery times, the user will receive the order in:

• 24/48 hours for Italy, San Marino and the Vatican;
• 48/96 hours for the European Union (with some exceptions *), Great Britain, Serbia and Switzerland;
• It is not possible to predetermine delivery times for other European countries outside the European Union as well as for * Corsica (France), Cyprus, Finland, Greece, Malta, Spanish and Portuguese non-European territories and islands.

The aforementioned times are those provided by our couriers and are to be considered as purely indicative.

11. Billing

Once the payment process is completed, the user will receive a confirmation email also containing a summary proforma invoice. This invoice will also be downloadable from the user personal area "My account" in the "Order history" section. Once we process the order, the final tax invoice will be issued and sent to the user via email, as well as included in the shipping package.

12. Warranty

12.1 The products sold are protected by the warranty for defects in the thing sold and by the limitation and forfeiture terms provided for by italian art. 1495 cc. Goodfellas s.r.l. is liable to the aforementioned users for defects that make the products unsuitable for their intended use or that appreciably decrease their value.

Such defects must exist at the time of delivery of the product or must manifest themselves within one year of such delivery or within that different term from time to time indicated by Goodfellas s.r.l. for specific items or established by law. The defect must be reported, under penalty of forfeiture of the warranty, within eight days from the date on which it was discovered.

12.2 Any failures or malfunctions caused by accidental events or by the user's responsibility or by use of the product that does not conform to its intended use are therefore excluded from the scope of the Legal warranty.

12.3 Remedies available to the user.

In order to take advantage of the warranty, the user must first provide proof of the date of purchase and delivery of the goods. It is therefore advisable for the user, for the purposes of this proof, to keep the order confirmation or the purchase invoice as well as the Transport Document or any other document that can certify the date of the purchase and the date of delivery.

In the event of a defect duly reported within the terms, the user has the right to free replacement of the goods or, in the event that such a remedy is not possible, to a reduction in the price or termination of the contract.

12.4 What to do in the presence of a defect in the purchased product.

In the event that a product, during the validity period of the warranty, manifests what could be a defect, the user must contact the Customer Service TaigaMusic-Goodfellas s.r.l., using the contact details referred to in art. 14 below, which will promptly reply to the communication and indicate to the user the specific procedure to follow.

The costs of returning the product that is assumed to be flawed or defective are the responsibility of the user and are reimbursed only in the event that the dispute is justified.

Goodfellas s.r.l. will carry out the necessary checks to ascertain the existence or otherwise of the alleged lack of conformity. In the event that the defect exists, within a reasonable period, Goodfellas s.r.l. will replace the product and any repair or replacement costs will be borne by Goodfellas s.r.l.. If Goodfellas s.r.l. does not find the lack of conformity, it will not be possible to apply the warranty and the transport costs and any replacement costs will be borne by the user. Goodfellas s.r.l. will inform the user of the circumstance and of any costs to be incurred for the replacement.

The user who intends to regain possession of the goods previously returned for verification, is required to contact the TaigaMusic-Goodfellas s.r.l. Customer Service who will be able to place the goods in the customer's first useful order at no additional cost or will ship the goods to the customer at expenses of the latter.

13. Return for incorrect purchase

The customer who wants to replace products purchased incorrectly must perform a return procedure by contacting TaigaMusic-Goodfellas s.r.l. Customer Service. The shipping costs of the goods to be replaced are entirely borne by the customer who undertakes to send the product(s) accompanied by the original intact (sealed) packaging, not tampered with and not damaged.

The Goodfellas s.r.l. service center, once the goods have been received, will evaluate the state of the products and, if they are again salable, the Customer Service will issue a voucher of the same value that can be spent in the next order.

14. Right of recourse

The users with a VAT number who sell the products purchased on the Site to final consumers are responsible for the defects of the thing sold. Users with a VAT number have the right of recourse pursuant to italian art. 131 of the Consumer Code due to a lack of conformity attributable to an action or omission by Goodfellas s.r.l. within one year from the performance of the service to the final consumer.

16. Applicable law and competent court

The purchase contract concluded on the Site is governed by Italian law (Art.3 Reg. UE 593/08). Any dispute relating to the application, execution, interpretation and breach of the contract between Goodfellas s.r.l. and users registered on the Site will be mandatorily devolved to the jurisdiction of the Court of Rome.
